Terms of Service

1. Acceptance of these terms

These Terms of Service (“Terms”) govern your access to and use of RallyClips (the “Service”), operated by RallyClips (“we”, “us”). By creating an account, uploading content, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

RallyClips is a video processing platform that detects rally boundaries in beach volleyball match footage, automatically clips matches into individual points, and provides storage, playback, sharing, and analytics for the resulting clips. Specific features may be added, modified, or removed over time.

3. Eligibility and accounts

You must be at least 13 years old to use the Service. If you are under 18, you must have permission from a parent or legal guardian. You are responsible for keeping your account credentials secure and for all activity that occurs under your account.

4. Your content

You retain ownership of the videos, clips, thumbnails, and metadata you upload (“User Content”). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transcode, generate thumbnails for, and (where you have enabled public sharing) display your User Content for the limited purpose of operating and improving the Service.

You represent and warrant that:

• You own or have the necessary rights to your User Content.
• You have obtained appropriate consent from any identifiable individuals appearing in your footage, especially before making clips public.
• Your User Content does not violate any law or third-party rights.

5. Acceptable use

You agree not to:

• Upload content that is unlawful, infringing, defamatory, harassing, or sexually explicit.
• Upload footage of minors without verifiable consent from a parent or guardian.
• Attempt to reverse engineer, scrape, or interfere with the Service or its infrastructure.
• Use the Service to train competing machine-learning models.
• Circumvent storage limits, rate limits, or subscription tier restrictions.

We may suspend or terminate accounts that violate these rules, and we may remove content that we reasonably believe violates these Terms or applicable law.

6. Subscriptions and billing

RallyClips offers a free tier and paid subscription tiers (e.g., Pro). Paid plans are billed in advance on a recurring monthly basis through our payment processor, Stripe. By subscribing, you authorize us and Stripe to charge your payment method for the recurring fee until you cancel.

You can cancel a paid subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; we do not provide prorated refunds for partial billing periods except where required by law.

Prices may change. We will give you reasonable advance notice of any price changes before they apply to your next renewal.

7. Storage and retention

Each subscription tier has a storage allowance. We store uploaded videos and generated clips in Cloudflare R2. If you exceed your allowance or cancel a paid plan, we may, after reasonable notice, restrict uploads or delete older content. Deleted content cannot be recovered.

8. Automated processing

The Service applies automated computer-vision and machine-learning techniques to your uploaded videos to detect rally boundaries, generate thumbnails, and (where enabled) classify shots and identify players. These outputs are heuristic and may contain errors. You are responsible for reviewing the results before relying on them.

9. Public sharing

Public sharing features (the public feed, share links, public profile handles) are opt-in. When you mark a clip or playlist public, it can be viewed by anyone with the link and may appear in the public feed. You can change visibility or revoke share links at any time, but cached copies may persist for a short period.

10. Intellectual property

The Service, including its software, design, branding, and the rallyclips.app name and logo, is owned by RallyClips and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

11. Termination

You may delete your account at any time from the data deletion page. We may suspend or terminate your access for material breach of these Terms, for suspected fraud, or as required by law. On termination, your right to use the Service ends, and we will delete or anonymize your data as described in our Privacy Policy.

12. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or that automated clipping and analytics will be accurate.

13. Limitation of liability

To the maximum extent permitted by law, RallyClips will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability for any claim arising from these Terms or the Service will not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) USD $50.

14. Indemnification

You agree to indemnify and hold RallyClips harmless from any claim, demand, or damage (including reasonable attorneys’ fees) arising from your User Content, your use of the Service, or your violation of these Terms.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Governing law

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-law principles. Any dispute will be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of those courts.
